OFFICIAL RULES

NO PURCHASE NECESSARY

The "City Chase/Palm Adventure" Contest (the "Contest") is sponsored by Palm, Inc., 950 W. Maude Ave., Sunnyvale, CA 94085 (the "Sponsor"). The Contests will be held at 8 separate live events (each, an "Event"):

• May 3, 2008, Philadelphia, PA (500 attendees)

• May 17, 2008 Atlanta, GA (500 attendees)

• June 7, 2007 San Diego, CA (500 attendees)

• June 28, 2008 San Francisco (500 attendees)

• July 19, 2008 Boston, MA (800 attendees)

• August 9, 2008 Seattle, WA (500 attendees)

• August 23, 2008 Chicago, IL (1800 attendees)

• September 13, 2008 New York City (800 attendees)

ELIGIBILITY
The "City Chase/Palm Adventure" Contest is open to legal residents of the fifty (50) United States and the District of Columbia who are twenty-one (21) years of age to thirty-nine (39) years of age at the time of entry who participate in one of the Events and qualify for entry as described in these Official Rules. Employees of the Sponsor, their affiliated companies or agents, their respective advertising or promotional agencies, and the independent judging organization (collectively, the "Promotion Entities") or members of any such employee's immediate family (regardless of where they live) or persons with whom they are domiciled (whether related to the employee or not) are ineligible to enter. In these Official Rules, "immediate family" includes mother, father, brothers, sisters, sons, daughters, partner, or spouse.

PROMOTION DESCRIPTION
At each Event, both registered team members must cross the finish line holding two, helium filled orange balloons above their head to qualify for drawing. A City Chase Team member will collect a tear-off from each participating team member's race bib at the finish line to be entered into drawing. One team will be selected as the Regional Finalist Winner in a random drawing at each post-Event party. Decisions of judges as to eligibility, determination of winner, and all matters pertinent to all parts of this promotion are final.

All Regional Finalists will be posted on a contest landing page (to be hosted on City Chase site). On the landing page, each regional team winner will enter a short essay on why they believe they should win The City ChasePalm Adventure grand prize experience and why they should be a part of the Palm City Chase Team at the City Chase US Championships.

Online voting will begin September 15, 2008 after the final, regional qualifying City Chase event in New York, NY. . And will close at 11:59:59 EDT on September 30,, 2008. All City Chase Event participants (and only City Chase Event participants) can vote on line for the team they want to win the grand prize trip to the US Championships. One vote per City Chase Event participant.

Grand prize will be awarded based on total votes collected and tabulated for all the regional market winners. Tabulations and voting are to be conducted by City Chase and the winning team will be announced on October 3, 2008.

REGIONAL FINALIST PRIZE.
Two (2) Centro™ smartphones (one per participant) will be awarded to the Regional Finalist Team at each Event. Random drawing will be conducted by an independent organization from among all eligible entries received. The odds of winning in a random drawing depend on the total number of eligible entries received. If for any reason there are no entries for a particular random drawing, the prize for that Event will not be awarded.

If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected.

PRIZES

Grand Prize. There will be one (1) Grand Prize awarded at the conclusion of all eight (8) regional events and the online voting–a "City Chase/Palm Adventure" for two (2) adults, including first-class air travel package, ground transfers from airport to hotel and back, hotel accommodations for three (3) nights within the city where the City Chase US Championship Race is held, and a certificate for $400 to cover incidental costs as selected by the Sponsor .(ARV $6,000). The Grand Prize must be taken on dates specified by Sponsor in connection with the City Chase US Championship Race (tentatively, October 11 or 18 2008) or the Grand Prize Package will be forfeited. All items of personal nature and all other costs and expenses not specifically stated as included herein are the sole responsibility of the winner and his/her guest. In the event that the winner does not use any portion of the Grand Prize, there will be no extension, transfer, substitution, or any kind of compensation provided. The Grand Prize Package must be accepted as awarded without substitution and is not transferable, not for resale, and has no cash surrender value. The Sponsor reserves the right, in the event that the Grand Prize or any component of the Grand Prize Package cannot be awarded as described for any reason, to substitute another prize or component of a prize of equal or greater value, without liability. Grand Prize winner will not receive cash or any other form of compensation if certificate costs are less than the Grand Prize ARV in these Official Rules. Sponsor reserves the right to structure the travel route and select the restaurant in its sole discretion.

Regional Finalists' Prize. There is one (1) finalist's prizes awarded at each event, each prize consisting of two (2) unlocked Palm Centro smartphones (ARV $798.98 for 2 phones). The finalist prize must be accepted as awarded and does not include any service contracts. Finalists' prizes may not be sold or transferred and are not convertible to cash. The Contest Sponsor reserves the right to substitute a prize of equal or greater value in in the event that a Centro smartphone is unavailable. The ARV of any electronic prize is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded or redeemed. If at the time of an Event the actual purchase price of an electronic prize is less than the ARV stated herein, the prize winner will NOT be entitled to a check, cash, or other form of payment for the price difference.

GENERAL PRIZE CONDITIONS: To be declared a Grand Prize or Regional Finalist each selected entrant will be required to complete, sign and have notarized, an Affidavit of Eligibility, a Liability Release, and (where imposing such condition is legal) a Publicity Release ("Affidavit/Release") confirming compliance with the Official Rules, acceptance of the Prize as awarded, without substitution, and releasing the Promotion Entities and their respective shareholders, directors, officers, employees, agents, representatives, successors and assigns (collectively, the "Released Parties") from any liability in connection with the Prize or this Contest. The Affidavit/Release must be returned within the time period specified on the Affidavit/Release along with any other documentation that Sponsor may require, or the selected entrant may be disqualified and another Contest Member may be declared the winner at Sponsor's sole discretion. The Winner may be required, upon the Sponsor's request, to complete additional documentation that, among other things, grants the Sponsor the right to distribute and/or to exploit the winner's Submission for whatever purpose the Sponsor chooses without further compensation. Traveling Guests (Grand Prize) will also be required to sign a Liability/Publicity Release releasing the Released Parties prior to award of Grand Prize. Traveling Guests who are minors must travel with parent or legal guardian.

Regional Finalists consent to the use by Sponsor of their names and likenesses as well as their written reasons for wanting to win, in any and all media, without further compensation, including use on Sponsor's web pages and web pages promoting Sponsor.

TAXES: Prize Winners will be solely responsible for all federal, state, and local taxes or licenses on prizes.

GENERAL: By entering the Contest entrants agree to abide by the Official Rules and the decisions of the independent contest organization with respect to all aspects of the Contest, which are final. These Official Rules shall be governed by and construed in accordance with the laws of the State of California. Venue and jurisdiction for any claims associated in any way with these rules shall be vested exclusively in the Federal, state, and local courts within Santa Clara County, California.

The Sponsor accepts no responsibility for loss, damage, or claims caused by or resulting from the Contest or the Prizing. By entering and/or accepting a Prize, the Prize Winners consent to the use of his/her name, address (city and state) and/or photograph without further compensation, in connection with any publicity carried out by or on behalf of the Sponsor with respect to this Contest, except where such requirement is prohibited.

The Sponsor and the independent judging organization will not be responsible for late, lost, illegible, incomplete, or destroyed entries and all such entries are void. The Sponsor and the independent judging organization do not assume any responsibility for incorrect or inaccurate capture of entry information, technical malfunctions, human or technical error, printing errors, lost, delayed or garbled data or transmissions, omission, interruption, deletion, defect or failures of any telephone or computer lines or networks, computer equipment, software or any combination thereof. Entry material/data that have been tampered with or altered are void. In the event it is determined that an entrant has entered in a fashion not sanctioned by these rules and/or has submitted more than the number of entries permitted by these rules, the entrant will be disqualified and all of the entries submitted by the entrant will be disqualified. Users using an automated script or program to send to a friend will be disqualified.

All entries become the permanent property of the Sponsor and none will be returned. No correspondence will be entered into except with the selected entrant. This Contest is subject to all applicable federal, state and local laws.

WINNER'S LIST: For names of winners, send a self-addressed, stamped envelope by 11/01/2008 to: City Chase/Palm Adventure, Palm, Inc., 950 W. Maude Ave., Sunnyvale, CA 94085. Winner's list to be available after 10/03/2008.

The Sponsor respects your right to privacy. Personal information collected from entrants will only be used by the Sponsor to administer the Contest and, only if consent is given at the time of entry, to provide the entrants with information regarding upcoming promotions and/or events from the Sponsor.
